These Terms of Service ("Terms") govern your use of ExemptReady (the "Site"), operated by CLEADEAL LLC, an Illinois limited liability company ("we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
The Site provides self-help educational content and document templates for people forming a nonprofit organization and applying for recognition of exemption under Section 501(c)(3) of the Internal Revenue Code — including a free eligibility checker, guides, and a paid formation kit — for personal, non-commercial use.
We are not a law firm, accounting firm, or filing service. We do not file anything with any government agency on anyone's behalf, we do not review your documents before you file them, and we do not represent you before the IRS or any state. You prepare and file your own documents. Nothing on this Site is legal advice or tax advice, and using the Site does not create an attorney-client, accountant-client, or any other professional relationship between you and us. For advice about your specific situation, consult a qualified licensed professional in your jurisdiction.
Templates generated through the Site are general-purpose self-help documents drafted from publicly available IRS guidance and sample language. A template is a starting point, not a guarantee that any document satisfies your state's law or the IRS's requirements for your organization.
The Site is not affiliated with, endorsed by, or connected to the Internal Revenue Service, any Secretary of State, any state charity regulator, or any other government agency.
We base the Site's rules, figures, and procedures on official sources — principally IRS.gov and state agency publications — and we date-stamp the pages that state them. Laws, regulations, fees, forms, and agency procedures change without notice to us. We do not guarantee that any information on the Site is complete, current, or correct; that any document you prepare will satisfy a filing office or the IRS; that the IRS will recognize your organization as exempt; or that using the Site or the kit will produce any particular outcome. Checker results are an educational estimate based on the answers you provide and the IRS's published eligibility criteria — they are not an IRS determination. You are responsible for confirming requirements with the IRS and with the state offices that govern your organization before filing.

Some products on the Site require a one-time payment — the ExemptReady Formation Kit is $49, one-time — processed securely by our payment provider (Stripe). Prices are shown in U.S. dollars. There is no subscription. Government filing fees (for example, IRS user fees and state incorporation fees) are charged by those agencies, are not included in our price, and are paid by you directly to the agency.
If you believe you were charged in error, email us at help@doogex.com and we will make it right.
All content on the Site — text, tools, compilations, design, and branding — is owned by CLEADEAL LLC or its licensors and is protected by copyright and other intellectual property laws. The underlying facts about government rules and procedures are public information; our explanations, compilations, templates, and guides are our work product. Purchasing a product gives you a personal, non-transferable license to use it for your own organization. It does not transfer ownership or give you the right to share, resell, or republish it.
To the maximum extent permitted by law, CLEADEAL LLC and its owners, officers, and agents will not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of (or inability to use) the Site or its products — including any decisions you make based on the Site's content, any filing that is rejected, delayed, or denied, and the acts, omissions, availability, or performance of any government agency. Our total liability for any claim will not exceed the amount you paid us, if any.
You agree to indemnify and hold harmless CLEADEAL LLC from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Site or your violation of these Terms.
The Site links extensively to third-party websites, most of them official government pages — the IRS, state incorporation offices, and state charity regulators — plus our payment processor. We are not responsible for their content, availability, policies, or practices, and each agency's own terms and instructions govern your filings with it.
We may update these Terms from time to time. The current version will always be posted on this page with its last-updated date. Continued use of the Site after changes means you accept the updated Terms.
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in Illinois, and you consent to their jurisdiction.

If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.
